the period commencing on 1/1/26 - 12/31/26, as follows: “Each party  
agrees to defend, indemnify, and hold the other party harmless from and  
against any and all damages, liabilities, costs, and expenses (including  
but not limited to attorney’s fees and costs) arising out of or relating to the  
party’s breach of its obligations under this Agreement and any intellectual  
property claims and violation of rights, including the personal proprietary  
rights, related to the material provided by the party.”

the State of New York, acting by and through the New York State  
Department of Economic Development, Empire State Development  
Agency, to accept an I LOVE NY matching grant in the approximate  
amount of $52,346 to be used to promote tourism in Westchester County,  
for a term commencing on 1/1/26 - 12/31/26; and 2) Hudson Valley  
Tourism, Inc., for the provision of various advertising and marketing  
services to promote tourism in the Hudson Valley Region, for a term  
commencing on 1/1/26 - 12/31/26, in a lump sum amount not to exceed  
$17,661, subject to appropriations.

112813 Human Resources - Enter into a license agreement with the City of  
Yonkers, whereby the County will permit the City to use property located  
at the County Fire Training Center, and equipment at the Training Center,  
in Valhalla as designated by the County, for the City to administer its  
Candidate Physical Ability Test (CPAT) for firefighter candidates; and in  
consideration for the use of the property, the City shall pay the County  
$1.00 annually and administer the CPAT at its own expense, for which  
the term of the agreement shall be two (2) years to commence upon  
execution and terminate two (2) years thereafter.

New York State, acting by and through its Division of Homeland Security  
and Emergency Services, (“DHSES”) in order to accept a grant awarded  
to the County by DHSES under New York State’s FY2025 Next  
Generation 911 (NG911) Grant Program, in the amount of $1,937,477,  
for the period from 9/1/25 - 8/31/30, for eligible expenses.

pursuant to which the Village will perform Phases I and II of the

Grant Program, to provide homelessness prevention services to

(“Harquin Graphics”), pursuant to which Harquin Graphics will serve as  
One-Stop Operator for the Westchester-Putnam Career Center Network,  
in accordance with the Workforce Innovation & Opportunity Act of 2014,  
for the period commencing retroactively on 9/1/25 - 8/31/29, in an amount  
not to exceed $82,000 per year, and a total aggregate amount not to  
exceed $328,000 during the agreement term.

11. 112798 Social Services - 1) Amend an agreement with Westchester Jewish  
Community Services, Inc. (“WJCS”), pursuant to which WJCS agreed to  
administer the Futures Without Violence: Child Welfare Domestic  
Violence Co-Located & Collaborative Program by providing advocacy and  
support services for child welfare-involved survivors of domestic violence,  
educational preventative programming for child welfare-involved  
teenagers and training workshops for Department staff, for a term  
commencing on 9/1/25 - 12/31/25, in an amount not-to-exceed  
$244,279.32, in order to, reduce the not to exceed amount specified for  
the first option term by $58,627, from an amount not-to-exceed $732,838,  
to an amount not-to-exceed $674,211; and 2) exercise the County’s first  
one-year option, as amended, and thereby: (a) extend the term of the  
agreement for an additional one (1) year period, commencing on 1/1/26 -  
12/31/26, (b) increase the not-to-exceed amount authorized thereunder  
by an additional amount not-to-exceed $674,211 to pay for Services  
rendered during the first Option Term, for a total aggregate amount under  
the agreement not-to-exceed $918,490.32, and (c) reflect the fact that the  
County will have one (1) additional one (1) year option remaining.

Westchester Public/Private Membership Fund for Aging Services, Inc.  
(“WPPM”), pursuant to which WPPM will provide its Telehealth  
Intervention Program for Seniors in accordance with the Community  
Services for the Elderly Program, for a term commencing retroactively on  
4/1/25 - 3/31/26, in an amount not to exceed $265,000 in state funds.

NY0488L2T042417 with the United States Department of Housing and  
Urban Development (“HUD”), to accept a grant in the amount of  
$13,836,013 under the HUD’s Continuum of Care Competition and  
Noncompetitive Award of Youth Homeless Demonstration Program -  
Rental Assistance Project, for a term from 3/1/25 - 2/28/26, in order to  
extend the term thereof for an additional period commencing on 3/1/25 -  
5/31/26; and 2) amend the original six (6) sub-recipient agreements with  
the agencies listed, each for the period from 3/1/25 - 2/28/26, in order to  
extend the term thereof for an additional period commencing on 3/1/26 -  
5/31/26 and to modify the total not to exceed amounts set forth under  
such agreements.
